I am a senior business transactional attorney with 25+ years of experience delivering commercially viable solutions across the full spectrum of complex transactions. My practice spans private fund formation (domestic and international), private placements of debt and equity, M&A, entity structuring, contracts, real estate, and estate planning — serving fund managers, institutional investors, high-net-worth individuals, entrepreneurs, executives, and privately-held companies. Prior to founding my firm, I served as General Counsel and Chief Compliance Officer for the Private Equity and Alternative Investments group at Neuberger Berman and Lehman Brothers, where my group raised and deployed over $9 billion in capital across private equity funds, co-investments, and hedge funds. I also led the legal strategy for the management buyout of Neuberger Berman during the Lehman Brothers bankruptcy — one of the most complex restructuring and governance challenges of that era. Before that, I spent eight years as a corporate and securities associate at Winstead Sechrest & Minick, one of Dallas's premier law firms. My transactional experience includes investment fund structuring, capital formation, debt and equity investments, mergers and acquisitions, venture capital, angel investments, exit strategies, business sales, joint ventures, spin-offs, divestitures, entity conversions, reorganizations, recapitalizations, offshore entities, international commerce, asset protection, and litigation settlement structuring.
