•Lead legal execution of strategic corporate transactions, including Series D–F financings, SAFEs, convertible notes, minority investments, recapitalizations, restructurings, and M&A transactions, managing structuring, negotiations, diligence, governance, and closing execution end-to-end. •Own complex financing and working capital transactions, including syndicated term loans, revolvers, delayed-draw facilities, ABLs, media-spend financing, and international trade support arrangements. •Independently negotiate and execute strategic transaction and governance documentation, including term sheets, purchase agreements, charter amendments, and financing-related approvals, operating with minimal outside counsel involvement. •Partner closely with Finance and Equity teams on weekly cap table reconciliations, grant tracking, and entity-related updates, and conduct quarterly reviews of capitalization records to validate accuracy across equity administration systems, governance documentation, and transaction workflows. •Drive legal and operational execution of company-wide equity compensation programs, including share pool increases, RSU grant processes, forfeitures, and rollout coordination for new equity award plans in partnership with Finance, HR, Benefits, and outside counsel. •Lead development of internal AI-enabled legal self-service tools allowing cross-functional teams to conduct preliminary trademark and brand clearance reviews independently while embedding legal guardrails and escalation pathways. •Lead negotiation of commercial and technology agreements annually, including enterprise SaaS, infrastructure, data, AI, logistics, and distribution arrangements supporting product expansion, operational scalability, and revenue growth. •Own end-to-end execution of strategic revenue-share partnerships valued between $1M-$50M, including licensing agreements, celebrity collaborations, international distribution arrangements, and consumer-facing partnerships.
