My practice focuses on transactional tax matters, including advising business owners on the initial formation, structure, and tax classification of their entities, as well as restructuring their businesses to maximize tax savings (e.g., for QSBS eligibility). I also advise both buyers and sellers on tax efficient structures and tax implications for M&A transactions and real estate investments. I started my legal career at Holland & Knight LLP, focusing primarily on middle-market private equity transactions, and prior to that, I worked at PwC in their state and local tax compliance group. My husband and I run our law firm, Kalaria Law, together in Dallas, Texas. He primarily advises small businesses, doctors, real estate investors, and startups on transactions (mostly M&A, PE, and VC).
