I specialize in executive compensation and employee benefits for start-ups, emerging growth, and public companies, and in personal representation of founders, executives, and management teams. I have significant experience in designing cash and equity compensation plans (including stock options, RSUs, ESPP, 10b5-1 plans, bonus plans), preparing offer letters, change in control agreements, and separation packages, and handling all executive compensation-related aspects of M&A transactions - guidance on treatment of equity awards, 280G analyses, ancillary document preparation (280G forms, transaction bonus agreements, amendments to employment agreements, etc.). I have guided numerous clients through the executive compensation issues that arise in an IPO and continue on to assist public companies with their annual proxy preparation. I also host Q&A sessions and prepare Q&A docs for employees regarding their equity awards. In personal representation, I assist individuals with all aforementioned matters, this time sitting on their side of table, as well as with one-off executive compensation matters that can arise during employment, such as cash and equity renegotiation or potential award expiration.
