About
Spark + Sterling is a solo virtual law firm representing startups and small businesses in New York and Massachusetts. Whether you’re raising money, signing your first (or hundredth) big customer, or just starting out, I offer practical, responsive, and cost-effective legal support. I work with startups from the idea stage through seed funding, as well as small business owners who have been operating for decades. Many of my clients are tackling major milestones: forming a company, raising capital, landing an enterprise customer, developing a new product, or scaling into new markets. I’ve been lucky to work with creative, tenacious founders in a wide range of industries including software, fintech, healthcare, consulting, entertainment, fashion, and food. With 29 years of experience, including at a startup law firm and in-house at a Fortune 500 multinational, I’ve managed through multiple market cycles and closed thousands of deals. I can help with: • Vetting business ideas. • Creating a road map for launching a new product or service, especially in highly regulated areas. • Forming a corporation or LLC and structuring equity agreements. • Preparing investment agreements such as SAFEs or convertible notes. • Advising on your pitch deck, go-to-market plan, and due diligence documents. • Negotiating services agreements, SaaS contracts, key vendor agreements, and more. • Automating your contracts process with templates, fallbacks, and playbooks. • Translating complex legal terms into plain language, so you have the information you need to make the best decisions. If you’re weighing next steps on a new venture, a capital raise, or a key contract and would like a clear view of your options, let’s talk.

"It took me 3 lawyers before I found someone as good as Jenevra to help me with contracts. She’s become part of my deal team. Jenevra’s work is the same quality as the big name law firms and she’s more affordable."
