Osahon Okundaye

Principal at Okundaye Legal PLLC, a mission-driven and impact finance practice.

About

I’m a transactional and investment lawyer focused on structured finance, private investment funds, tax‑exempt organizations, hedge fund regulation, private placements, commercial lending, and broker‑dealer compliance. I help founders, fund managers, investors, and mission‑driven organizations structure capital, navigate securities laws, and execute complex transactions with clarity and speed.

My practice blends corporate structuring, securities regulation, and capital‑markets strategy. I offer precise, practical guidance on raising capital, forming investment vehicles, complying with private placement and broker‑dealer rules, or structuring nonprofit and hybrid entities

Before launching my practice, I spent years in Big Law advising on cross‑border private placements, including expansive securitization platforms, and complex debt issuances, and fund structuring across the U.S., Europe, and Asia.

Previously associate with Allen & Overy, Katten, and Schulte Roth & Zabel
